The contractor will be responsible for minimal systems modifications. The scope of work is primarily modifications to interior building finishes, i.e. flooring, ceilings, and wall coverings. It is anticipated that systems will need to be disconnected and placed back in service for gate podium replacements and ceiling modifications.

1. In relation to Section 3.1.3 of the General Conditions, please advise if subsurface conditions can be removed from the Contractor’s investigation obligations. Currently, the RFP does not call for the Contractor to undertake extensive subsurface testing, for which cost would need to be included in its bid. Instead, as confirmed by Section 2.1.3 of the General Conditions, the Owner intends to provide such reports to the Contractor, but then disclaims all accuracy of these reports. If the Contractor cannot rely upon the Owner-provided reports, then it must revert back to undertaking extensive subsurface testing of its own. Instead of building in excessive internal contingency for costs relating to Owner-caused delay, it makes sense to address these costs via request(s) for change. This is the industry standard, particularly in relation to Owner-caused delay. The fee a contractor makes on a project pails in comparison to the risk of consequential damages (e.g. lost profits, holdover rent, etc.), especially on an active airport. In relation to Section 8.3 of the General Conditions, please advise if liquidated damages (LD) can be capped at a reasonable percentage of the Contractor’s Fee, only be tied to Substantial Completion, and be defined as the Owner’s sole remedy in the event of delay. LD’s are not only tied to substantial completion, but also to final completion. As is common knowledge, LD’s are unenforceable if they are a penalty. Given the fact that GOAA will have beneficial occupancy of the Project, and thus be able to generate profits, LD’s tied to final completion are a penalty and should be removed. Finally, the language indicates that LD’s may not constitute the Owner’s sole remedy in the event of delay. In relation to Section 11.7 of the General Conditions, please advise if the Contractor’s indemnity obligations can be limited to claims resulting from third-party bodily injury and property damage, as is drafted in other standardized contract templates (including the AIA). If not, please advise if Section 11.7.1 will be removed such that Section 11.7.3 controls. Florida Statute 725.06(2) only permits the Section 11.7.3 language to be included in a public agency’s contract for construction. Similar to consequential damages, by creating a risk that cannot be insured (i.e. bodily injury and property damage), a respondent is now required to build in excess funds into its bid. This is not conducive to GOAA receiving the lowest responsive and responsible bid. A contractor’s liability should exist for a reasonable period of time on a project, as established under Florida law.
